1. Agreement to Terms

By accessing or using ZipScheduler ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Use License

Permission is granted to temporarily use ZipScheduler for personal or commercial business purposes. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials
  • Use the materials for any commercial purpose or for any public display
  • Attempt to reverse engineer any software contained in ZipScheduler
  • Remove any copyright or other proprietary notations from the materials

3. Beta Service Notice

ZipScheduler is currently in beta testing. While we strive to provide reliable service, you acknowledge that the Service may contain bugs, errors, or other issues. We reserve the right to modify, suspend, or discontinue any aspect of the Service during the beta period.

4. Service Plans

ZipScheduler offers two service plans:

  • Free Plan: Unlimited bookings, 1 team member, 5 zip codes, 3 services, 5 form fields, 3 FAQs, 25 emails per month, and email marketing enabled
  • Pro Plan: Unlimited bookings, 20 team members, 300 zip codes, 100 services, 100 form fields, 200 FAQs, 500 emails per month, review system enabled, email marketing enabled, and additional features including email automation and AI follow-ups

When signing up, you can choose between a Free account or a Paid account. Paid accounts require payment via PayPro. You can start with the Free plan and upgrade to the Pro plan anytime. Items exceeding Free plan limits will be frozen and may be deleted after 7 days if not upgraded.

5. Payment and Billing

Pro plan subscriptions are billed monthly ($24/month) or yearly ($216/year). Payment is processed through third-party payment processors. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and no prorated refunds are provided for partial periods.

We offer a 30-day money-back guarantee for first-time Pro plan subscribers. To request a refund, contact us within 30 days of your first payment.

You agree to provide current, complete, and accurate billing information. We reserve the right to suspend or terminate your account if payment fails or is declined.

6. User Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Notify us immediately of any unauthorized use of your account
  • Use strong passwords and maintain security of your credentials

We reserve the right to suspend or terminate accounts that violate these Terms or appear to be fraudulent, abusive, or otherwise unlawful.

7. Content and Data Ownership

You retain all ownership rights to the data and content you upload to ZipScheduler ("Your Content"). By using the Service, you grant us a limited, worldwide, non-exclusive license to use, store, process, and display Your Content solely for the purpose of providing and improving the Service.

You represent and warrant that: (a) you own or have the necessary rights to Your Content, (b) Your Content does not violate any third-party rights, and (c) Your Content complies with these Terms and all applicable laws.

We will not sell, rent, or share your customer data with third parties for their marketing purposes. We may use aggregated, anonymized data for analytics and service improvement.

8. Data Backup and Export

While we maintain regular backups of Service data, you are solely responsible for maintaining your own backups of Your Content. You may export your data at any time through the Service interface or by contacting our support team.

9. Prohibited Uses

You may not use ZipScheduler:

  • For any unlawful purpose or to solicit unlawful acts
  • To violate any international, federal, provincial, or state regulations, rules, or laws
  • To transmit or procure the sending of spam, unsolicited marketing messages, or other harassing communications
  • To impersonate or attempt to impersonate the company or another user

10. Service Availability

While we strive for 99.9% uptime, we do not guarantee that the Service will be available at all times. The Service may be unavailable during scheduled maintenance, updates, or due to circumstances beyond our control. We are not liable for any downtime or service interruptions.

11. Termination

Either party may terminate this agreement at any time. You may delete your account through your account settings. We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, your right to use the Service will immediately cease. We will retain your data for 30 days after termination, after which it may be permanently deleted. You may request a data export before termination.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) defects will be corrected; (c) the Service is free of viruses or harmful components; or (d) the results obtained from use of the Service will be accurate or reliable.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZIPSCHEDULER, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE LAST SIX (6) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify, defend, and hold harmless ZipScheduler and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ZipScheduler operates, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the applicable arbitration rules, except that either party may seek injunctive or other equitable relief in court.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

18. Entire Agreement

These Terms constitute the entire agreement between you and ZipScheduler regarding the Service and supersede all prior agreements and understandings, whether written or oral.
